These Terms and Conditions apply to all quotations, purchase orders, invoices, sales and supplies made by HM Traders. By placing an order, the customer confirms acceptance of these Terms and Conditions.
Unless otherwise stated, quotations remain valid for the period mentioned in the quotation and are subject to product availability, exchange-rate fluctuations and changes in taxes, duties, freight or manufacturer pricing.
An order becomes binding only after written acceptance by HM Traders and receipt of the required advance payment. Verbal orders or commitments shall not be considered final unless confirmed in writing.
Product images, catalogues and descriptions are provided for general reference. Specifications, packaging, colour, design or accessories may vary according to the manufacturer’s latest production model, provided that the essential functionality remains unchanged.
Prices are exclusive of applicable taxes, duties, transportation, installation, calibration, validation and training charges unless specifically included in the quotation.
Where applicable, the customer shall be responsible for ensuring that the intended use, installation site and procurement process comply with relevant institutional and regulatory requirements. HM Traders will provide available supporting documents as agreed in the quotation.
Warranty shall be limited to the period, scope and conditions stated in the quotation, invoice or manufacturer’s warranty. Warranty does not cover consumables, accessories subject to normal wear, batteries, cables, probes, sensors, accidental damage, misuse, improper handling, unauthorized repairs, electrical fluctuations, improper earthing or environmental damage.
The customer must ensure that all necessary civil, electrical, plumbing, medical-gas, networking, ventilation and environmental requirements are completed before installation. Any additional visit caused by incomplete site readiness may be charged separately.
The customer must inspect the products promptly upon delivery. In the absence of a written complaint within the specified inspection period, the products shall be considered received in good condition and accepted.
HM Traders shall not be liable for indirect, incidental, consequential or operational losses, including loss of revenue, interruption of services or third-party claims. Any proven liability shall not exceed the amount actually paid for the affected product.
HM Traders shall not be responsible for delays or failure caused by circumstances beyond its reasonable control, including manufacturer delays, import restrictions, customs clearance, shipment disruption, natural disasters, strikes, regulatory changes or government actions.
Confirmed orders, specially imported products and customized items cannot be cancelled without the written approval of HM Traders. Any approved cancellation may be subject to deduction of costs already incurred.
Where a quotation, purchase order or written contract contains product-specific conditions, those conditions shall prevail over these general terms to the extent of any inconsistency.
Transactions shall be governed by the applicable laws of Pakistan. Any dispute shall first be addressed through mutual consultation and, if unresolved, referred to the courts having lawful jurisdiction at the registered place of business of HM Traders.
